01 Acceptance & Engagement
These Terms of Service ("Terms") constitute a legally binding agreement between WebWizBD ("Studio", "we", "us", or "our"), headquartered in Dhaka, Bangladesh, and the client ("Client", "you", or "your") purchasing digital design, custom WordPress Full Site Editing theme engineering, plugin development, or technical consultation services.
By commissioning a project, accepting a formal proposal, authorizing a milestone invoice via Payoneer, or engaging our engineering team, you agree to comply with and be bound by these Terms.

03 Project Milestones & Deliverables
All projects proceed through structured development phases with mutual sign-offs:
- Phase 1: Architecture & Scope Definition: Agreement on deliverables, wireframes/Figma mockups, and technical roadmap.
- Phase 2: Core Engineering & Staging Preview: Building the platform on private staging environments where you can review live progress.
- Phase 3: Revisions & Quality Assurance: Each package includes specified revision rounds (standard 2–3 rounds) to refine typography, layouts, and copy.
- Phase 4: Production Deployment & Handoff: Migration to production, live DNS linkage, and delivery of documentation and source code repositories.
04 Code Ownership & Intellectual Property
We uphold transparent, ethical ownership standards:
- Full IP Transfer Upon Final Payment: Once the final invoice is paid in full, all proprietary source code, custom block patterns, design mockups, and configurations created specifically for your project become your exclusive property.
- Open-Source Compliance: WordPress core, third-party libraries, and GPL components retain their respective open-source licensing (GPLv2 or compatible).
- Portfolio Display Right: Unless a written Non-Disclosure Agreement (NDA) is executed prior to kickoff, WebWizBD reserves the right to showcase the completed project in our public portfolio and case studies.
05 Invoicing & Payoneer Payments
International commercial transactions are billed and processed cleanly:
- Payment Methods: Official invoices are processed through Payoneer (Credit Card, Debit Card, ACH, Local Bank Transfer, or Payoneer Balance) and international bank wire transfers.
- Milestone Schedule: Standard projects require a 50% upfront deposit to secure the engineering timeline, with the remaining 50% due upon completion of staging review and prior to production migration.
- Currency & Fees: All fees are quoted in United States Dollars (USD) unless explicitly agreed in writing. Each party is responsible for their own standard banking transaction fees.
06 Client Responsibilities & Assets
Timely project delivery requires active client collaboration:
- Asset Provision: The Client is responsible for supplying high-resolution logos, brand guidelines, product details, copy, and authorized third-party API credentials in a timely manner.
- Legal Rights to Assets: The Client warrants that all imagery, trademarks, texts, and materials provided to WebWizBD are legally owned by or licensed to the Client.
- Review Feedback: Prompt feedback within 3–5 business days during revision windows ensures adherence to scheduled delivery timelines.
07 Post-Launch Warranty & Support
Every custom development package delivered by WebWizBD includes our 30-Day Post-Launch Technical Warranty:
- Complimentary Bug Fixes: Any functional defects, layout regressions, or broken links directly attributable to the contracted code are resolved within 24–48 hours at zero additional cost.
- Exclusions: Warranty does not cover third-party plugin updates released after handover, unauthorized code modifications made by other developers, or hosting environment failures.
- Ongoing Care Plans: Monthly maintenance, security monitoring, and content updates are available through our dedicated retainer plans.
08 Limitation of Liability
To the maximum extent permitted by applicable law, WebWizBD shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of business profits, revenue, data, or downtime) arising out of or related to website operations or third-party cloud services.
Our aggregate liability under any circumstances shall not exceed the total fees paid by the Client to WebWizBD under the specific statement of work giving rise to the claim.
09 Termination & Governing Law
Either party may terminate a project agreement upon 14 days written notice if the other party breaches a material obligation and fails to remedy such breach within that period.
These Terms and all disputes arising hereunder shall be governed by and construed in accordance with the laws of Dhaka, Bangladesh, with mutual commitment to friendly mediation before initiating formal arbitration.
